1. Position and Duties
Job Title: [[Job Title]]
Department: [[Department or "N/A"]]
Work Location: [[Primary Work Location or Address]]
Supervisor: [[Supervisor Name and Title]]
Start Date: [[Start Date]]
The Employee is employed in the position of [[Job Title]]. The Employee's primary duties include performing the work reasonably assigned by the Employer consistent with the position and such other duties as are customarily associated with the role or as may be assigned from time to time.
The Employee shall devote such time, attention, and best efforts as are necessary for the proper performance of duties and shall comply with all lawful policies, procedures, and directions of the Employer.
2. Employment Type and At-Will Status
Employment Type: [[Employment Type - "At-will" or "Fixed-term for X period"]]
Arkansas is an at-will employment state pursuant to Arkansas Code § 11-4-201 et seq. and applicable common law. Unless a fixed term is expressly stated in writing and signed by an authorized representative of the Employer, the employment relationship is at-will. This means:
- Either party may terminate the employment relationship at any time, with or without cause and with or without advance notice.
- The at-will nature may be modified only by a written agreement signed by an authorized officer of the Employer that expressly states an intent to create a contract for a definite term.
- No handbook, policy, oral statement, or course of conduct alters the at-will relationship.
If this is a fixed-term employment, the term is [[Fixed Term Description if applicable, otherwise "N/A - at-will employment"]] and converts to at-will upon expiration unless renewed in a new written agreement.
3. Compensation
Base Salary or Hourly Rate: [[Base Salary Amount or Hourly Rate]]
Pay Frequency: [[Pay Frequency, e.g., bi-weekly, weekly, semi-monthly]]
Wages are due and payable at regular intervals in accordance with the Arkansas Wage Payment Law (Arkansas Code § 11-4-401 et seq.). Arkansas minimum wage is $11.00 per hour (as of the date of this template; confirm current rate at time of hire per Arkansas Code § 11-4-210). There is no state income tax in Arkansas.
For non-exempt employees under the Fair Labor Standards Act (FLSA), overtime compensation at one and one-half times the regular rate shall be paid for hours worked over forty (40) in a workweek.
FLSA Classification: [[Exempt or Non-exempt - include brief rationale if desired]]
Benefits Summary: [[Summary of Benefits, e.g., health insurance eligibility, 401(k), PTO policy, or "As described in Employer's current benefits summary and policies"]]
The Employee may be eligible for benefits as described in the Employer's current plans and policies. The Employer reserves the right to modify, amend, or terminate benefits in accordance with plan documents and applicable law. No state-mandated PTO exists in Arkansas.
4. New Hire Reporting and Tax Withholding
The Employer will report new hires to the Arkansas New Hire Reporting Center within the timeframe required by state and federal law. The Employee authorizes the Employer to provide necessary information.
Because Arkansas has no state income tax, only federal income tax, Social Security, and Medicare will be withheld as applicable. The Employee is responsible for any estimated tax payments if required.
5. Workers' Compensation and Workplace Safety
For employers with three (3) or more employees, workers' compensation coverage is generally required under Arkansas Code Title 11, Chapter 9. The Employer maintains required workers' compensation insurance as applicable. The Employee agrees to report any work-related injury or illness immediately in accordance with Employer policy and Arkansas law.
6. Restrictive Covenants - Non-Compete, Non-Solicitation, and Confidentiality
Non-Compete Duration: [[Non-Compete Duration, typically not to exceed two (2) years]]
Non-Compete Geographic Scope: [[Non-Compete Geographic Scope, e.g., the State of Arkansas or specific counties]]
Non-Solicitation Period: [[Non-Solicitation Period for customers/employees]]
During employment and for the period after termination stated above, the Employee shall not, directly or indirectly:
- Engage in any business competitive with the Employer within the geographic scope described, provided the restrictions are reasonable in duration (typically not exceeding two years), geographic area, and line of business as required for enforceability under Arkansas Code § 4-75-101 and common law.
- Solicit, contact, or attempt to do business with the Employer's customers or clients with whom the Employee had material contact during employment, for the purpose of providing competing services or products.
- Solicit or encourage the Employer's employees, contractors, or consultants with whom the Employee worked to leave their positions with the Employer.
Arkansas courts may reform overbroad covenants to the maximum extent enforceable. The restrictions, if any, are reasonable and necessary to protect the Employer's legitimate business interests. No state-specific non-solicitation statute exists; common law applies.
7. Confidentiality and Trade Secrets
Confidentiality Scope: [[Confidentiality Scope or "All non-public business information"]]
The Employee shall hold in strict confidence and not disclose or use any confidential or proprietary information of the Employer, including trade secrets, customer lists, pricing, methods, financial data, processes, and other non-public information, both during and after employment. These obligations survive termination. Arkansas protects trade secrets under the Arkansas Trade Secrets Act (Arkansas Code § 4-75-601 et seq.).
8. Intellectual Property Assignment
All work product, inventions, improvements, discoveries, ideas, writings, software, and intellectual property created by the Employee within the scope of employment or using Employer resources, time, or information are the sole property of the Employer. The Employee assigns all rights, title, and interest to the Employer and will execute documents reasonably requested to perfect ownership. This obligation survives termination.
9. Termination
Termination Notice Period: [[Termination Notice Period, e.g., "None required for at-will employment" or specific if agreed]]
Either party may terminate as provided in the at-will provisions (or fixed term provisions if applicable). Upon termination, the Employee shall return all Employer property, documents, materials, and access devices. The Employee may be required to execute a separation or release agreement as a condition of receiving any severance not otherwise required by law.
10. Performance Reviews and Probationary Period
The Employer may conduct periodic performance reviews. The initial period of employment may include a probationary or introductory period of [[Probationary Period Length, e.g., ninety (90) days]] during which either party may terminate without the notice otherwise applicable, if any.
11. Expenses and Reimbursements
The Employee will be reimbursed for pre-approved reasonable business expenses incurred in the performance of duties upon submission of required documentation in accordance with Employer policy and Arkansas law.
12. Governing Law and Dispute Resolution
Governing Law: State of Arkansas
This Agreement is governed by the laws of the State of Arkansas. Any dispute shall be resolved in the state or federal courts located in [[County of Employer's Principal Place of Business or "Pulaski County"]], Arkansas, and the Employee consents to such jurisdiction and venue.
No state-level WARN Act applies in Arkansas; only the federal Worker Adjustment and Retraining Notification (WARN) Act applies to covered employers with 100 or more employees.
13. Miscellaneous Provisions
This Agreement constitutes the entire agreement between the parties and supersedes all prior understandings, whether written or oral. No modification is valid unless in writing and signed by both parties. If any provision is held unenforceable, the remainder continues in force. The Employee acknowledges the opportunity to consult independent counsel before signing.
