1. Purpose
The Parties wish to explore a potential business relationship or transaction involving [[Purpose of Disclosure]] (the "Purpose"). In connection with the Purpose, Disclosing Party may disclose certain confidential and proprietary information to Receiving Party.
2. Definition of Confidential Information
"Confidential Information" means any and all non-public information, whether in written, oral, electronic, or other form, disclosed by Disclosing Party to Receiving Party that is designated as confidential or that a reasonable person would understand to be confidential given the nature of the information or the circumstances of disclosure.
Confidential Information includes business plans, financial data, customer lists, technical information, trade secrets, know-how, inventions, processes, source code, marketing plans, and personnel information.
3. Exclusions from Confidential Information
Confidential Information does not include information that:
(a) Is or becomes publicly available through no fault of Receiving Party.
(b) Was rightfully in Receiving Party's possession prior to disclosure.
(c) Is rightfully received from a third party without restriction.
(d) Is independently developed without use of Confidential Information.
(e) Is required to be disclosed by law with prompt notice to Disclosing Party.
4. Obligations of Receiving Party
Receiving Party agrees to:
- Hold all Confidential Information in strict confidence using at least reasonable care.
- Use the Confidential Information solely for the Purpose.
- Limit access to employees and advisors with a need to know who are bound by confidentiality obligations.
- Not reverse engineer or create derivative works except as necessary.
- Promptly notify Disclosing Party of any unauthorized use or disclosure.
5. Term and Survival
This Agreement remains in effect for [[Term Duration]] from the Effective Date or until termination of discussions.
Confidentiality obligations survive for [[Survival Period]] years after termination or for so long as the information remains a trade secret under Florida law, whichever is longer.
6. Return or Destruction of Materials

7. Remedies

10. Florida Trade Secrets Note

Non-compete and non-solicit covenants are enforceable if reasonable in time, area, and line of business under Fla. Stat. § 542.335, subject to the legitimate business interest requirement and not overbroad. This Agreement does not include non-competes unless separately documented.
11. Independent Legal Advice
Each Party has had the opportunity to obtain independent legal advice.
12. Specific Categories
Without limitation, the following are Confidential Information when disclosed: technical data, business operations, customer data, IP strategy, and personnel information.
13. Third-Party Information; Residuals
Receiving Party will honor third-party restrictions of which it is notified. Residual knowledge may be used provided specific Confidential Information is not disclosed.
14. Audit; Data Security; Compliance
Disclosing Party may audit compliance upon reasonable notice. Receiving Party shall maintain reasonable safeguards. Each Party shall comply with applicable laws.
15. Force Majeure; Notices; Headings
Standard force majeure, notice, and heading provisions apply.
