1. Position, Duties, and Reporting
- Position. Employer employs Employee in the full-time position of [[Exact Job Title]].
- Duties. Employee shall perform the duties and responsibilities customarily associated with the position, including but not limited to the following:

2. Term and Nature of Employment
- Commencement. Employment under this Agreement shall begin on [[Start Date]].
- Term. This Agreement shall continue [[indefinitely on an at-will basis OR for a fixed term of [[Number]] [[months/years]] ending on [[End Date]], subject to earlier termination as provided herein]].
- At-Will Status. Unless a fixed term is expressly stated, employment is at-will. Either party may terminate the employment relationship at any time, with or without cause and with or without advance notice, subject to the terms of this Agreement and applicable Hawaii and federal law.
3. Compensation
- Base Compensation. Employer shall pay Employee a base salary of $[[Annual Base Salary Amount]] per year (or $[[Hourly Rate]] per hour if non-exempt), subject to applicable tax withholdings and deductions. Payment shall be made [[bi-weekly / semi-monthly / monthly]] on Employer's regular payroll dates.
- Overtime and Premium Pay. If Employee is classified as non-exempt under the Fair Labor Standards Act and Hawaii law (HRS § 387-3), Employee shall receive overtime compensation at one and one-half times the regular rate for hours worked over 40 in a workweek, and any other premium pay required by law.
- Performance Bonuses / Commissions. Employee shall be eligible to participate in [[Description of bonus or commission plan, including targets, calculation method, and payment timing]]. Bonuses and commissions are discretionary unless otherwise stated in a separate written plan.
- Salary Reviews. Employee's compensation shall be reviewed at least annually, with any adjustment effective on [[Review Date or "the anniversary of the Start Date"]] or such other date as Employer determines.
4. Benefits and Leave
- Health and Welfare Benefits. Employee shall be entitled to participate in Employer's group health, dental, vision, life, and disability insurance plans, subject to the terms, conditions, and eligibility requirements of those plans as amended from time to time.
- Retirement Plans. Employee may participate in Employer's [[401(k) / profit sharing / other]] retirement plan(s) in accordance with plan documents.
- Paid Time Off (PTO). Employee shall accrue paid time off at the rate of [[X hours / days]] per [[pay period / year]], subject to Employer's PTO policy. Accrued but unused PTO shall be paid out upon termination to the extent required by Hawaii law and Employer's policy.
- Hawaii-Specific Leave. Employer shall comply with all applicable Hawaii leave laws, including but not limited to the Hawaii Family Leave Law (HRS Chapter 398), the Hawaii Temporary Disability Insurance law, and any paid family leave or sick leave requirements. Employee shall provide reasonable notice and medical certification as required.
- Holidays. Employee shall be entitled to paid holidays in accordance with Employer's holiday schedule, currently including [[List major holidays]].

5. Work Schedule, Location, and Remote Arrangements

- Work Schedule. Employee's regular work schedule is [[Days and Hours, e.g., Monday - Friday, 8:00 a.m. to 5:00 p.m., with one unpaid hour for lunch]].
- Remote or Hybrid Work. [[If applicable: "Employer currently permits hybrid work arrangements. - Travel. Employee may be required to travel occasionally for business purposes. Reasonable pre-approved travel expenses will be reimbursed.
6. Confidentiality, Trade Secrets, and Intellectual Property
- Definition. "Confidential Information" means all non-public information belonging to Employer, including customer and employee data, financial information, trade secrets, business plans, marketing strategies, pricing, processes, software, and any information marked confidential or that a reasonable person would recognize as confidential.
- Obligations. Employee shall not use or disclose Confidential Information except as required to perform duties or as expressly authorized. These obligations continue after termination of employment.
- Trade Secrets. Employee acknowledges that Employer's trade secrets are protected under the federal Defend Trade Secrets Act and Hawaii's Uniform Trade Secrets Act (HRS Chapter 482B).
- Intellectual Property. All inventions, works of authorship, improvements, discoveries, and intellectual property developed by Employee, alone or jointly, during employment and relating to Employer's business or using Employer's resources shall be the exclusive property of Employer. Employee assigns all rights to Employer and agrees to execute any documents and take any actions reasonably requested to perfect Employer's ownership, both during and after employment.
- Return of Materials. Upon termination or upon request, Employee shall immediately return all Employer property, documents, electronic files, access credentials, and any materials containing or derived from Confidential Information.
7. Restrictive Covenants
- Non-Competition. During employment and for a period of [[Number]] months following termination for any reason, Employee shall not, directly or indirectly, engage in any Competing Business within the [[Geographic Scope, e.g., State of Hawaii or specific counties]] in a capacity that would inevitably require use or disclosure of Confidential Information. "Competing Business" means any business that offers products or services substantially similar to those offered by Employer during the twelve (12) months preceding termination.
- Non-Solicitation of Customers. During employment and for [[Number]] months after termination, Employee shall not solicit or attempt to divert any customer or client of Employer with whom Employee had material contact during employment.
- Non-Solicitation of Employees. During employment and for [[Number]] months after termination, Employee shall not solicit, recruit, or hire any employee of Employer to work for a competitor or for Employee's new employer.
- Reasonableness. Employee acknowledges that these restrictions are reasonable and necessary to protect Employer's legitimate business interests. If any restriction is held unenforceable, it shall be modified to the minimum extent necessary to make it enforceable.
8. Representations and Warranties
Employee represents and warrants that:
- Employee is legally authorized to work in the United States and in the State of Hawaii.
- Employee is not subject to any non-compete, non-solicit, or other agreement that would prevent Employee from performing the duties under this Agreement.
- All information provided by Employee in connection with employment (resume, application, background information) is true and complete.
9. Termination and Severance
- Termination for Cause. Employer may terminate this Agreement and Employee's employment for Cause at any time without advance notice or severance. Cause includes material breach, gross misconduct, conviction of a crime, fraud, violation of policies, or failure to perform duties after notice and opportunity to cure.
- Termination Without Cause. Employer may terminate without Cause upon [[Notice Period, e.g., two (2) weeks]] written notice or payment in lieu of notice.
- Resignation. Employee may resign upon [[Notice Period]] written notice. Employer may accept a shorter period or place Employee on paid leave during the notice period.
- Severance. If Employer terminates Employee without Cause, Employee may receive severance pay of [[Number of Weeks]] weeks of base salary, subject to execution of a separation agreement and release of claims in a form acceptable to Employer and compliance with any post-employment obligations.
- Effect of Termination. Upon termination, all unvested equity or benefits shall be forfeited unless otherwise provided in a plan or agreement. Employee shall cooperate in the transition of duties and return of property.
10. Dispute Resolution and Arbitration
- The parties shall first attempt to resolve any dispute informally through good-faith discussion.
- If not resolved, any controversy or claim arising out of or relating to this Agreement or the employment relationship shall be resolved by binding arbitration administered by the American Arbitration Association in [[City, Hawaii]] under its Employment Arbitration Rules. The arbitrator's decision shall be final and binding. Each party shall bear its own costs unless the arbitrator orders otherwise.
- This arbitration provision does not apply to claims for workers' compensation, unemployment benefits, or claims that cannot be arbitrated as a matter of law.
11. General Provisions
- Governing Law. This Agreement shall be governed by the laws of the State of Hawaii without regard to conflict of laws principles. Exclusive venue for any court action (prior to or to enforce arbitration) shall lie in the courts of the First Circuit, State of Hawaii, or the United States District Court for the District of Hawaii.
- Entire Agreement. This Agreement, together with any exhibits, offer letter, and Employer policies incorporated by reference, constitutes the entire agreement and supersedes all prior agreements and understandings.
- Amendment. This Agreement may be amended only by a written document signed by both parties.
- Severability. Invalid provisions shall be reformed or severed; remaining provisions shall remain in effect.
- Waiver. No waiver shall be effective unless in writing.
- Assignment. Employee may not assign this Agreement. Employer may assign it to any successor.
- Counterparts. This Agreement may be signed in counterparts and electronically.
- Notices. Notices shall be in writing and delivered by certified mail, overnight courier, or email with read receipt to the addresses above.
- Acknowledgment. Employee acknowledges that Employee has read this Agreement, understands it, and has had the opportunity to consult with an attorney. Employee is signing voluntarily.
