1. Position and Duties
Employer employs Employee in the position of [[Job Title]]. Employee shall perform the duties described in Exhibit A (Job Description) and such other duties as may be reasonably assigned by Employer. Employee shall devote full business time, attention, skill, and best efforts to the performance of Employee's duties and shall comply with all lawful policies, procedures, and instructions of Employer.
- Employee agrees to perform duties diligently, professionally, and in accordance with Employer's standards, applicable laws, and any code of conduct provided to Employee.

2. Term and At-Will Employment
Employment under this Agreement is at-will. Either party may terminate the employment relationship at any time, with or without cause or advance notice, subject to the terms of this Agreement and applicable Nebraska law. Nothing in this Agreement creates a contract of employment for a definite term or alters the at-will nature of employment unless expressly stated in a writing signed by an authorized representative of Employer.

3. Compensation and Wages
Employee shall receive a base salary or wage of [[Base Compensation Amount and Frequency, e.g. $85,000 per year or $25.00 per hour]], payable in accordance with Employer's standard payroll practices and Nebraska's Wage Payment Act (Neb. Rev. Stat. §§ 48-1228 to 48-1232). Employee may be eligible for bonus, commission, or incentive compensation as set forth in Exhibit B or a separate written plan.
- Compensation is subject to all applicable federal, state, and local tax withholdings and deductions.
- Non-exempt employees are entitled to overtime pay in accordance with the Fair Labor Standards Act and Nebraska law at the rate of one and one-half times the regular rate for hours worked over forty (40) in a workweek.
- Employer shall reimburse Employee for pre-approved, reasonable business expenses incurred in the performance of duties upon timely submission of required documentation within [[Expense Reimbursement Deadline, e.g. thirty (30)]] days.
4. Benefits
Employee shall be entitled to participate in any employee benefit plans maintained by Employer (including health, retirement, and other welfare benefits) on the same terms as similarly situated employees, subject to the terms of the applicable plan documents and summary plan descriptions. Benefits are subject to change at Employer's discretion.
- Employee is entitled to [[PTO or Vacation Days]] days of paid time off per year, accruing according to Employer's policies, plus any holidays designated by Employer.
- Employer shall provide any required notices under the Nebraska Workers' Compensation Act and other mandated programs.
5. Confidentiality, Intellectual Property, and Trade Secrets
Employee agrees to hold in strict confidence and not disclose, use, or permit the use of any confidential or proprietary information, trade secrets, or customer data of Employer during or after employment, except as required in the performance of duties or as authorized in writing. All work product, inventions, improvements, ideas, and intellectual property created by Employee in the course of employment or using Employer's resources shall be the sole and exclusive property of Employer.
- Employee hereby assigns to Employer all right, title, and interest in such intellectual property and agrees to execute any documents and take any actions reasonably requested by Employer to perfect or enforce such ownership.
- These obligations survive termination of employment.
6. Non-Competition, Non-Solicitation, and Other Restrictive Covenants
Nebraska law generally does not enforce post-employment non-compete agreements against employees except in limited circumstances, such as in connection with the sale of a business. Any restrictive covenant in this Agreement shall be interpreted and enforced only to the extent permitted by Nebraska law (see Neb. Rev. Stat. considerations and case law requiring reasonableness in time, geography, and scope).
- During employment, Employee shall not engage in any activity competitive with Employer.
- For a period of [[Post-Employment Restriction Period, e.g. twelve (12) months]] after termination, Employee shall not solicit Employer's employees, customers, or suppliers with whom Employee had material contact, to the extent enforceable.
- If any restriction is held unenforceable, it shall be reformed to the maximum extent enforceable under Nebraska law; overbroad restrictions are not modified by courts.
7. Termination
1. By Employer for Cause. Employer may terminate for Cause (including material breach of this Agreement, gross misconduct, conviction of a felony, fraud, or violation of law or policy) upon written notice, with no further obligation except for accrued but unpaid compensation through the termination date.
- Without Cause. Employer may terminate without Cause upon [[Notice Period for Without Cause, e.g. fourteen (14) days]] written notice or payment in lieu thereof, plus any severance or benefits as may be specified in Exhibit C or required by law.
- Resignation by Employee. Employee may resign upon [[Notice Period for Resignation, e.g. fourteen (14) days]] prior written notice. Employer may accept a shorter period or accelerate the effective date.
- Return of Property. Upon termination for any reason, Employee shall immediately return all Employer property, documents, data, keys, access devices, and materials, and shall not retain copies of any Employer information.
- Final Pay. Final wages shall be paid in accordance with Nebraska law on the next regular payday or within two (2) weeks, whichever is earlier.
8. Representations and Warranties
Employee represents and warrants that Employee is legally authorized to work in the United States, that Employee has the legal capacity to enter this Agreement, and that doing so does not violate any other agreement, obligation, or court order binding on Employee.
9. Governing Law and Dispute Resolution
This Agreement shall be governed by and construed in accordance with the laws of the State of Nebraska, without regard to conflicts of law principles. Any dispute arising out of or relating to this Agreement or the employment relationship shall be resolved in the state or federal courts located in [[County, e.g. Douglas County]], Nebraska. The parties consent to personal jurisdiction and venue there.
- The parties agree to attempt in good faith to resolve disputes through discussion or mediation before litigation.
- In any action to enforce rights under this Agreement, the prevailing party shall be entitled to recover reasonable attorneys' fees and costs to the extent permitted by Nebraska law.
10. Miscellaneous Provisions
This Agreement, including all exhibits and any separate confidentiality or other agreements referenced herein, constitutes the entire agreement between the parties concerning the subject matter and supersedes all prior agreements, understandings, and negotiations, whether written or oral.
- Amendments or waivers must be in writing and signed by both parties.
- If any provision is held invalid or unenforceable, the remaining provisions shall continue in full force and effect.
- This Agreement may be executed in counterparts and by electronic signature, each of which shall be deemed an original.
- Employee acknowledges that Employee has had the opportunity to consult with an attorney of Employee's choice before signing and has read and understands this Agreement.
11. Required Disclosures and Acknowledgments
Employer has provided or will provide any notices required under Nebraska law, including any information regarding workers' compensation, unemployment insurance, wage payment, and anti-discrimination policies. Employee acknowledges receipt of any employee handbook or policy manual referenced in this Agreement.

14. Data Protection and Privacy
Employee agrees to comply with all applicable data protection and privacy laws, including any Nebraska-specific requirements and federal laws such as those governing personal information. Employee shall not access, use, or disclose personal data except as necessary for job duties and in accordance with Employer's policies.
- Employee shall promptly report any suspected data breach or unauthorized access.
- Upon termination, Employee shall return or securely destroy all data and devices containing Employer or customer information as directed.
15. Workplace Safety and Compliance
Employer maintains a safe workplace in compliance with the Occupational Safety and Health Act (OSHA) and Nebraska workplace safety regulations. Employee agrees to follow all safety rules, report hazards immediately, and participate in required training.
- Employee shall not engage in any conduct that endangers the safety of others.
- Violations of safety policies may result in disciplinary action up to and including termination.
16. Equal Opportunity and Anti-Harassment
Employer is an equal opportunity employer and prohibits discrimination and harassment on the basis of race, color, religion, sex, national origin, age, disability, veteran status, sexual orientation, gender identity, or any other characteristic protected by Nebraska or federal law. Employee agrees to comply with Employer's anti-harassment and anti-discrimination policies.

17. Additional Nebraska-Specific Provisions
Nebraska law provides certain protections and requirements for employees, including prompt payment of wages upon termination, restrictions on withholding of final pay, and rules regarding deductions. Employer shall comply with all such requirements.
- Any deduction from wages must be authorized in writing by Employee or permitted by law.
- Employee acknowledges that this Agreement does not alter any rights under the Nebraska Fair Employment Practice Act or other protective statutes.
18. Cooperation After Termination
Following termination, Employee agrees to cooperate reasonably with Employer in the transition of duties, protection of confidential information, and any legal or administrative proceedings, at Employer's request and expense for reasonable out-of-pocket costs.
19. Notices
All notices under this Agreement shall be in writing and delivered personally, by certified mail, or by email with read receipt to the addresses set forth above or such other address as a party may designate in writing. Notice is effective upon receipt or three (3) business days after mailing, whichever is earlier.
