1. Position and Duties
Employer employs Employee in the position of [[Job Title]]. Employee shall perform the duties described in Exhibit A and such other duties as may be reasonably assigned. Employee shall devote full business time and best efforts to the performance of duties and shall comply with all lawful policies and instructions of Employer.
- Employee agrees to perform duties diligently, professionally, and in accordance with Employer's standards and applicable laws.

2. Term
Employment is at-will. Either party may terminate at any time, with or without cause or advance notice, subject to any severance provisions in this Agreement or applicable Nevada law. Nothing in this Agreement creates a contract for a definite term unless expressly stated.

- Nevada is an at-will employment state; this Agreement does not alter that status unless specifically provided.
3. Compensation
Employee shall receive a base salary or wage of [[Base Compensation Amount and Frequency]], payable in accordance with Employer's standard payroll practices and Nevada wage laws (NRS Chapter 608). Employee may be eligible for bonus or commission as set forth in Exhibit B.
- Compensation is subject to applicable tax withholdings.
- Non-exempt employees are entitled to overtime in accordance with the FLSA and Nevada law.
- Employer shall reimburse pre-approved, reasonable business expenses upon submission of required documentation within [[Expense Submission Deadline]] days.
4. Benefits
Employee shall be entitled to participate in Employer's benefit plans on the same terms as similarly situated employees. Employee is entitled to [[PTO Days]] days of paid time off per year, accruing as specified in policy.
5. Confidentiality and Intellectual Property
Employee agrees to protect Employer's confidential and proprietary information and trade secrets. All work product, inventions, and intellectual property created by Employee in the course of employment shall be the sole property of Employer. Employee assigns all rights to Employer and agrees to execute documents to perfect ownership. This obligation survives termination.
6. Non-Competition and Non-Solicitation
Post-employment non-competes are enforceable in Nevada only if reasonable in time, geographic scope, and necessary to protect legitimate business interests (NRS 613.195 et seq., with statutory limits and requirements for consideration and notice). Any covenant herein shall be interpreted to the maximum extent enforceable.
- During employment, Employee shall not engage in competitive activity.
- For [[Non-Compete Period, e.g. twelve (12) months]] after termination, Employee shall not solicit Employer's employees, customers, or suppliers with whom Employee had material contact.
- If any restriction is held unenforceable, it shall be reformed to the maximum extent permitted under Nevada law.
7. Termination
1. By Employer for Cause. Employer may terminate for Cause (material breach, gross misconduct, conviction of felony, etc.) upon written notice, with no further obligation except accrued compensation.
- Without Cause. Employer may terminate without Cause upon [[Notice Period]] written notice or payment in lieu, plus any severance specified.
- Resignation. Employee may resign upon [[Notice Period]] written notice.
- Return of Property. Upon termination, Employee shall return all Employer property, documents, and data.
- Final Pay. Final wages shall be paid in accordance with Nevada law (NRS 608.160).
8. Representations
Employee represents that Employee is legally authorized to work in the United States and that entering this Agreement does not violate any other agreement.
9. Governing Law
This Agreement shall be governed by the laws of the State of Nevada. Disputes shall be resolved in the courts of [[County]], Nevada.
- The parties agree to attempt to resolve disputes through discussion or mediation before litigation.
- In any action to enforce, the prevailing party may recover reasonable attorneys' fees and costs to the extent permitted by law.
10. Miscellaneous
This Agreement, including exhibits, constitutes the entire agreement. Amendments must be in writing. Severability, waiver, and other boilerplate apply. This Agreement may be executed electronically.
11. Nevada-Specific Provisions
1. Employee acknowledges receipt of any required notices under Nevada law, including wage and hour information.
- Employer has provided or will provide information regarding any applicable paid leave, minimum wage, or other mandated disclosures.

15. Additional Nevada Employment Notes
1. This Agreement does not create a contract of employment for a definite term unless expressly stated.
- Employee understands that employment may be terminated by either party at any time, with or without cause or advance notice, consistent with Nevada at-will doctrine.
- Any oral or written statement to the contrary shall be binding only if signed by an authorized officer of Employer.
- Employee certifies that all information provided in connection with this Agreement is true and complete.
- Employer shall comply with Nevada's wage payment timing requirements for final pay (NRS 608.160) and any applicable minimum wage or paid leave mandates.
- If Employee is a minor or in a protected category, Employer shall comply with all additional Nevada protections.
16. Data Protection and Workplace Policies
Employee agrees to comply with Employer's policies on data security, workplace conduct, anti-harassment, and safety. Violations may result in disciplinary action including termination.
17. Dispute Resolution
The Parties agree to attempt to resolve any disputes through internal discussion or mediation before litigation. Any litigation shall be brought in the state or federal courts located in [[County]], Nevada.
18. Acknowledgment
Employee acknowledges that Employee has read this Agreement, understands it, and has had the opportunity to consult with an attorney. Employee signs voluntarily.
19. Final Certification
Employee certifies that all information provided in connection with this Agreement (including any application or background information) is true and complete. Any false statement may be grounds for termination or rescission of this Agreement.
20. Return of Property and Access
Upon termination or request, Employee shall immediately return all Employer property, including but not limited to computers, phones, keys, access cards, documents (physical and electronic), and credentials. Employee shall not retain copies of Employer information.
21. Post-Employment Obligations
Employee agrees to cooperate with Employer after termination in any transition matters or legal proceedings for a reasonable period, subject to reimbursement of reasonable expenses.
22. Severability and Reformation
If any provision of this Agreement (including non-compete) is held unenforceable, the remaining provisions shall continue in effect, and the invalid provision shall be reformed to the minimum extent necessary to make it enforceable under Nevada law.
23. Entire Agreement
This Agreement, including all exhibits, constitutes the entire agreement between the Parties concerning the subject matter and supersedes all prior agreements, understandings, and negotiations, whether written or oral. No modification shall be effective unless in a writing signed by both Parties.
24. Acknowledgment of At-Will Status (If Applicable)
If this is an at-will employment relationship, Employee understands that employment may be terminated by either party at any time, with or without cause or advance notice. No oral or written statement to the contrary shall be binding unless signed by an authorized officer of Employer.
25. Nevada-Specific Addenda
Employee has received or will receive any required Nevada-specific notices or disclosures, including information regarding minimum wage, paid leave, or other mandated topics under Nevada law.
