1. Position and Duties
Employee is hired for the position of [[Job Title]].
Employee shall perform the duties described in the job description attached as Exhibit A (or as reasonably assigned), and shall report to [[Reporting Manager / Title]].
Employee shall devote full time, attention, and best efforts to the business of Employer during working hours and shall comply with all lawful policies and instructions.
2. Employment Status and Term
Employment in New York is generally at-will. This Agreement does not create a contract for a definite term unless expressly stated.

3. Compensation

6. Confidentiality and Intellectual Property

7. Restrictive Covenants

8. Termination

9. Dispute Resolution

10. Governing Law
This Agreement is governed by the laws of the State of New York.
11. Miscellaneous
This Agreement constitutes the entire agreement and supersedes prior agreements. Amendments must be in writing signed by both parties.
If any provision is invalid, the remainder remains in effect.

13. Representations and Warranties
Employee represents that all information provided in the employment application and during the hiring process is true and complete.
14. Return of Property
Upon termination or request, Employee shall immediately return all Employer documents, devices, keys, credit cards, and data (including copies and electronic files).
15. Notices
All notices shall be in writing and delivered to the addresses above or such other address as a party designates in writing.
16. Waiver and Severability
No waiver of any breach shall be a waiver of any subsequent breach. If any clause is held unenforceable, the remainder shall continue in force.
17. Counterparts and Electronic Signatures
This Agreement may be executed electronically. Each counterpart is an original.

18. Additional Employment Terms
- Employee agrees to comply with all applicable federal, state, and local laws and Employer policies, including anti-harassment and anti-discrimination policies.
- Employer maintains a zero-tolerance policy for workplace violence and substance abuse as detailed in the handbook.
- Employee authorizes Employer to conduct background checks and verify employment eligibility (Form I-9).
- Any changes to compensation or title will be confirmed in writing.
19. Acknowledgment of Handbook and Policies
Employee acknowledges receipt of Employer's employee handbook, code of conduct, and required NY notices (including sexual harassment prevention policy and annual pay notice).
20. Survival
The confidentiality, IP assignment, and post-termination obligations shall survive termination of employment and this Agreement.
