1. Position and Duties
Employer employs Employee in the position of [[Job Title]] reporting to [[Manager Title or Name]].
Employee shall perform the duties described in the attached job description (Exhibit A) and such other duties as may be reasonably assigned.
Employee shall devote full business time, attention, and best efforts to the performance of duties during the term of employment.
2. Term and At-Will Employment
Employment is at-will under Oregon law. Either party may terminate the employment relationship at any time, with or without cause or advance notice, subject to the terms of this Agreement and applicable law.

3. Compensation

5. Work Location and Schedule

6. Confidentiality and Proprietary Information
Employee agrees to maintain the confidentiality of all proprietary, trade secret, and confidential information of Employer, both during and after employment, in accordance with Oregon's Uniform Trade Secrets Act and common law.
Employee shall not use or disclose such information except as required in the performance of duties or with prior written authorization.
7. Intellectual Property and Work Product
All work product, inventions, improvements, and intellectual property created by Employee in the course of employment or using Employer's resources shall be the sole and exclusive property of Employer.
Employee hereby assigns all rights in such work product to Employer and agrees to execute any documents necessary to perfect Employer's ownership.
8. Non-Competition and Non-Solicitation
During employment and for a period of [[Post-Employment Restriction Period, e.g. twelve (12)]] months after termination (for any reason), Employee shall not:
(a) Engage in a competing business in the geographic area where Employee performed services, to the extent permitted by Oregon law (note: Oregon generally prohibits non-competes for employees except for certain executives, sale of business, or other limited exceptions);
(b) Solicit or attempt to solicit Employer's customers or clients with whom Employee had material contact;
(c) Solicit or hire Employer's employees.
These restrictions are limited to the maximum extent enforceable under Oregon law (ORS 653.295 and related case law).
9. Return of Property
Upon termination or request, Employee shall immediately return all Employer property, documents, devices, keys, access cards, and materials, including all copies and electronic files.
10. Termination and Final Pay
Upon termination, Employer shall pay all earned but unpaid wages, including accrued but unused vacation or PTO if applicable under Oregon law, in accordance with ORS 652.140 (final pay timing rules).
Employee shall cooperate in the transition of duties and return of property.
11. Representations and Warranties
Employee represents that Employee is legally authorized to work in the United States and in Oregon, and that accepting this position does not violate any other agreement or obligation.
12. Governing Law and Dispute Resolution
This Agreement is governed by the laws of the State of Oregon.
Any dispute shall first be attempted to be resolved through internal processes. If not resolved, disputes may be submitted to binding arbitration in [[City]], Oregon under the rules of [[Arbitration Provider]], to the extent permitted.
Notwithstanding, either party may seek provisional relief in court.
13. Miscellaneous
This Agreement, together with any employee handbook, confidentiality agreement, and equity documents, constitutes the entire agreement.

14. Oregon-Specific Wage and Hour Provisions
Employee acknowledges receipt of information regarding Oregon's meal and rest break requirements, paystub requirements, and final wage payment timing under ORS Chapter 652 and 653.
For non-exempt employees, Employer will provide paid or unpaid meal periods and rest breaks as required by Oregon law (generally 30-minute meal period for shifts over 6 hours, 10-minute rest break for every 4 hours worked).
15. Personnel Policies and Handbook
Employee agrees to comply with Employer's employee handbook, policies, and procedures as they may be adopted or amended from time to time. In the event of conflict between this Agreement and the handbook, this Agreement controls on compensation and termination terms.
16. Background Check and References
This offer and employment are contingent upon satisfactory completion of any background check, reference verification, or other pre-employment screening authorized by law and disclosed to Employee.
17. Equal Employment and Harassment Policy
Employer is an equal opportunity employer. Employee agrees to comply with all anti-discrimination, anti-harassment, and respectful workplace policies.
18. Survival
The provisions regarding confidentiality, intellectual property, non-solicitation, return of property, governing law, and any other provisions that by their nature should survive, shall survive termination of employment and this Agreement.
19. Acknowledgment
Employee acknowledges that Employee has read and understands this Agreement, has had the opportunity to consult with an attorney, and is signing voluntarily.

21. Additional Employee Acknowledgments
Employee acknowledges and agrees to the following:

- Employee understands the at-will nature of employment in Oregon and that no oral or written statements have altered that status except as set forth herein.
- Employee has been advised of the right to consult with an attorney of Employee's choice prior to signing.
- All representations made by Employee in the employment application, resume, and interviews are true and complete.
- Employee will notify Employer immediately of any change in address, emergency contacts, or eligibility to work.
22. Notices
All notices under this Agreement shall be in writing and delivered by hand, email with read receipt, or certified mail to the addresses first set forth above or to such other address as a party may designate in writing.
23. Counterparts
This Agreement may be executed in counterparts, including electronic copies, each of which shall be deemed an original.
