Employment Status and At-Will Relationship
Washington is an at-will employment state. Subject to the terms of this Agreement and applicable law, either party may terminate the employment relationship at any time, with or without cause or advance notice.
- This Agreement does not create a contract for employment for a definite term unless expressly stated in a signed writing by an authorized representative of the Employer.
- If a fixed term or project-based term is specified elsewhere in this Agreement or a separate signed writing, the relationship shall convert to at-will upon expiration of that term unless the parties execute a written extension or renewal.
- Nothing in any handbook, policy, or oral statement alters the at-will nature of employment unless set forth in a signed written agreement.
Duties and Responsibilities
The Employee shall perform all duties associated with the position of [[Job Title]] in a professional, diligent, and timely manner, including but not limited to:
- Execute the core responsibilities of the role and meet performance expectations communicated by the Employer.
- Comply with all applicable federal, state, and local laws, Employer policies, and reasonable instructions from supervisors.
- Maintain any required licenses, certifications, or qualifications for the position.
- Devote full working time and attention to the Employer's business during scheduled working hours and perform other duties as assigned that are consistent with the Employee's position.
- Participate in performance evaluations, training, and meetings as required.
- Protect the Employer's confidential information, intellectual property, and business interests at all times.
Compensation

The Employee shall be paid on the schedule corresponding to [[Pay Frequency]]. Compensation is subject to applicable tax withholdings, deductions, and garnishments required by law.
- If salaried, the stated amount is the base annual salary, paid in installments according to the Employer's standard payroll schedule.
- If hourly, the stated rate applies to all hours worked. Non-exempt employees are entitled to overtime compensation at one-and-one-half times the regular rate for hours worked over 40 in a workweek in accordance with the Fair Labor Standards Act and Washington Minimum Wage Act.
- The current Washington state minimum wage is $17.13 per hour effective January 1, 2026 (subject to annual adjustment). The Employer will comply with all applicable minimum wage, overtime, and pay transparency requirements.
- Bonus, commission, equity, profit sharing, or other incentive compensation, if any, is governed by separate written plans or agreements and is not guaranteed unless expressly provided in writing.
- The Employer will provide itemized pay statements as required by RCW 49.12.020 and applicable regulations.
Benefits and Leave
The Employee shall be eligible for the following benefits, subject to the terms of the applicable plan documents, eligibility rules, and Employer policies in effect from time to time:
- Group health, dental, vision, and other insurance benefits offered to similarly situated employees.
- Participation in any retirement or 401(k) plan offered by the Employer, subject to plan terms.
- Paid time off (PTO), vacation, holidays, and sick leave according to the Employer's current policy and Washington Paid Sick Leave requirements under RCW 49.46.210.
- Washington Paid Family and Medical Leave (PFML) benefits administered by the Employment Security Department, with job protection requirements applicable for qualifying employers beginning in 2026.
- Workers' compensation coverage as required by Washington law (Title 51 RCW).
- Any other benefits described in an employee handbook or separate summary plan description.
Eligibility, waiting periods, contribution amounts, and plan terms are governed by the applicable documents. The Employer reserves the right to modify or terminate benefits at any time, subject to applicable law and any contractual obligations.
Termination and Notice

Either party may terminate the employment relationship as follows:
- At-will employment: Either party may terminate at any time, with or without cause, and with or without advance notice, except as required by this Agreement, a separate written contract, or applicable law (including protections against retaliation or discrimination).
- The Employee shall provide the notice period stated above when resigning, unless waived by the Employer in writing.
- Upon termination, the Employee shall return all Employer property, documents, access credentials, and confidential materials.
- The Employer may place the Employee on paid or unpaid administrative leave pending investigation or during a notice period.
- Final pay, including any accrued but unused PTO where required, will be provided in accordance with Washington law (RCW 49.48.010 et seq.).

The Employee agrees to the following post-employment restrictions, which the parties acknowledge are intended to be reasonable and necessary to protect the Employer's legitimate business interests:
- Non-competition: Any non-competition covenant is enforceable only to the extent permitted by Washington's Noncompetition Covenants Act (RCW 49.62). Non-competes are generally void for employees earning less than twice the applicable minimum wage (approximately $34.26 per hour or the annual equivalent as adjusted for 2026). For higher-earning employees, restrictions must be reasonable in time, geography, and scope.
- Non-solicitation of customers: The Employee shall not, during employment and for a reasonable period after termination, solicit or attempt to divert customers or clients of the Employer with whom the Employee had material contact during employment.
- Non-solicitation of employees: The Employee shall not, during employment and for a reasonable period after termination, solicit or encourage employees of the Employer to leave their employment.
- Confidentiality obligations survive indefinitely with respect to trade secrets and for the period specified for other confidential information.
- If any court finds a restriction unenforceable as written, the parties request that the court reform the restriction to the maximum extent enforceable under RCW 49.62.
- The Employee acknowledges receipt of the required statutory notice for any non-compete.
Note: Effective June 30, 2027, Washington law (per HB 1155) will ban most noncompetition covenants for Washington-based workers. Any non-compete in this Agreement will be subject to then-current law.
Confidentiality and Intellectual Property
The Employee agrees that during and after employment:
- The Employee will not disclose or use any confidential or proprietary information of the Employer, including customer lists, trade secrets, business methods, financial data, internal documents, and know-how, except as required in the performance of duties or with prior written consent.
- All work product, inventions, improvements, ideas, materials, and intellectual property created by the Employee in the course of employment or using Employer resources are the sole property of the Employer. The Employee hereby assigns all rights, title, and interest in such intellectual property to the Employer and agrees to execute any documents necessary to perfect the Employer's ownership.
- Upon termination, the Employee shall return or securely destroy all confidential materials and certify in writing that this has been done.
Governing Law, Venue, and Miscellaneous
This Agreement shall be governed by and construed in accordance with the laws of the State of Washington, without regard to conflict of laws principles.
- Venue for any dispute arising under this Agreement shall be in the state or federal courts located in the county where the Employer's principal place of business is located, or as otherwise agreed in writing.
- This Agreement constitutes the entire agreement between the parties concerning the subject matter and supersedes all prior agreements, understandings, and representations, whether written or oral.
- No modification of this Agreement shall be valid unless in a writing signed by both parties.
- If any provision is held invalid or unenforceable, the remaining provisions shall continue in full force.
- The failure of either party to enforce any right or provision shall not constitute a waiver of that or any other right.
- This Agreement may be executed in counterparts, including electronic signatures, each of which shall be deemed an original.
- The Employee acknowledges that the Employee has had the opportunity to review this Agreement with independent legal counsel.
