1. Services
Provider agrees to provide the following website maintenance and support services (the "Services") for the website located at [[Website URL]] (the "Site"):
- Routine Updates: Apply security patches, software updates, plugin/theme updates (for CMS platforms), and minor content updates as requested.
- Monitoring and Backups: Monitor Site uptime and performance; perform regular backups of files and database; restore from backup upon request or incident.
- Security: Implement and maintain basic security measures, including malware scanning, firewall rules (if applicable), and SSL certificate management.
- Bug Fixes and Minor Enhancements: Diagnose and repair reported bugs; implement small functional improvements within the scope defined in a statement of work.
- Technical Support: Provide email or ticket-based support during [[Support Hours, e.g., business hours Monday-Friday]] for issues related to the Site's core functionality.
- Performance Optimization: Perform periodic optimization of database, images, caching, and code where feasible within the maintenance scope.

Services do not include major redesigns, new feature development beyond minor enhancements, content creation, SEO services, or migration to a new platform unless separately agreed in writing.
2. Client Obligations
Client agrees to:
- Provide timely access to the Site (hosting credentials, admin logins, FTP/SFTP, database access) and any necessary third-party accounts.
- Designate a primary contact for requests and approvals.
- Review and respond to Provider communications within a reasonable time.
- Ensure that any content or materials provided to Provider do not infringe third-party rights.
- Maintain current payment information and pay fees on time.
- Notify Provider promptly of any suspected security incidents or downtime.
3. Fees and Payment
- Client shall pay Provider the fees set forth in Schedule A (or attached quote), which may include a monthly retainer, hourly rates, or per-incident pricing.
- Fees are due [[Net 15 / Net 30]] days from invoice date. Late payments may accrue interest at the maximum rate permitted by Washington law.
- Provider may adjust fees upon 30 days' written notice for renewals or scope changes.
- Out-of-scope work will be quoted separately and requires Client approval before performance.
- Expenses (third-party tools, hosting overages, premium plugins) will be pre-approved by Client and reimbursed at cost plus any agreed markup.
4. Term and Termination
- This Agreement begins on the Effective Date and continues on a month-to-month basis or for the term specified in Schedule A, automatically renewing unless either party provides written notice of non-renewal at least 15 days prior to the end of the current term.
- Either party may terminate for convenience upon 30 days' written notice. Client shall pay for all Services performed through the termination date.
- Either party may terminate immediately for material breach that remains uncured 10 days after written notice.
- Upon termination, Provider will provide reasonable transition assistance (export of files, credentials handover) for an additional fee if requested.
5. Intellectual Property
- Client retains all right, title, and interest in the Site content and any materials provided to Provider.
- Provider retains all right, title, and interest in any pre-existing tools, code libraries, frameworks, or methodologies used to perform the Services.
- Upon full payment, Client receives a non-exclusive license to use any custom work product created specifically for Client under this Agreement.
6. Confidentiality
Each party agrees to maintain the confidentiality of the other party's non-public information disclosed in connection with this Agreement and to use such information only for performing obligations under this Agreement. This obligation survives termination for three (3) years.
7. Warranties and Disclaimers
- Provider warrants that the Services will be performed in a professional and workmanlike manner consistent with generally accepted industry standards.
- EXCEPT AS EXPRESSLY SET FORTH, THE SERVICES AND ANY DELIVERABLES ARE PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND. PROVIDER DISCLAIMS ALL IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE.
- Client acknowledges that no website or hosting environment can be guaranteed 100% secure or available at all times, and Provider is not responsible for downtime caused by third-party hosting providers, internet outages, or Client actions.
8. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, PROVIDER'S TOTAL LIABILITY UNDER THIS AGREEMENT SHALL NOT EXCEED THE TOTAL FEES PAID BY CLIENT TO PROVIDER DURING THE TWELVE (12) MONTHS PRECEDING THE CLAIM. IN NO EVENT SHALL PROVIDER BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR LOSS OF PROFITS OR DATA, REGARDLESS OF THE CAUSE.
9. Indemnification
Client shall indemnify and hold Provider harmless from claims arising from Client's content, use of the Site, or breach of this Agreement. Provider shall indemnify Client from claims that the work product delivered by Provider infringes third-party intellectual property rights, provided Client gives prompt notice and allows Provider to control the defense.
10. Governing Law and Venue
This Agreement shall be governed by the laws of the State of Washington. Any dispute shall be resolved exclusively in the state or federal courts located in [[County]], Washington. Each party consents to jurisdiction and venue there.
11. Miscellaneous
- This Agreement, including any schedules and statements of work, constitutes the entire agreement and supersedes prior agreements.
- Amendments must be in writing and signed by both parties.
- Neither party may assign without prior written consent, except to an affiliate or successor in connection with a merger or sale of assets.
- If any provision is invalid, the remainder continues in force.
- This Agreement may be executed in counterparts and by electronic signature.
- No waiver is effective unless in writing.
