Employment Status - At-Will
West Virginia is an at-will employment state. Employment may be terminated by either party at any time, with or without cause or advance notice, unless modified by this Agreement or applicable law.

- If a fixed term applies, the relationship converts to at-will upon expiration unless extended in writing.
Duties and Responsibilities
The Employee shall:

Compensation is subject to withholdings. Overtime for non-exempt employees is paid in accordance with the FLSA. West Virginia follows the federal minimum wage unless a higher local rate applies. Bonus or incentive compensation, if any, is governed by separate plans.
Benefits and Leave
The Employee is eligible for benefits offered by the Employer, including any group insurance, retirement plans, and paid time off according to policy. West Virginia does not mandate paid sick leave at the state level for most employers, but federal and local requirements may apply. Workers' compensation coverage is provided as required by West Virginia law (Chapter 23).
Termination and Notice

Restrictive Covenants

Confidentiality and Intellectual Property

- Confidential and proprietary information will not be disclosed or used except in performance of duties.
- All work product and inventions created during employment are the sole property of the Employer. The Employee assigns all rights and will execute documents to perfect ownership.
- Upon termination, all materials will be returned or destroyed with certification.
Governing Law
This Agreement is governed by the laws of the State of West Virginia. Venue lies in the county where the Employer's principal place of business is located.
Miscellaneous
- This is the entire agreement.
- Amendments must be in writing and signed.
- Severability: invalid provisions do not affect the rest.
- Counterparts and electronic signatures permitted.
- Waiver of jury trial to the extent permitted.
