Article 1 - Formation and Name
- The Company was formed as a limited liability company under the West Virginia Uniform Limited Liability Company Act (W. Va. Code §31B-1-101 et seq.) upon the filing of the required certificate or articles with the Secretary of State of West Virginia.
- The name of the Company is [[LLC Full Legal Name]]. The Company may use assumed names as permitted.
- The principal place of business is [[Principal Office Address]] or such other place as the Members may designate.
- The Company shall have perpetual existence unless dissolved earlier in accordance with this Agreement or law.
Article 2 - Purpose
The purpose of the Company is to engage in the business of [[Primary Business Purpose]] and any other lawful business or activity for which limited liability companies may be organized under West Virginia law.
Article 3 - Members and Capital Contributions
- The initial Members and their Percentage Interests and initial Capital Contributions are set forth in Schedule A.
- No Member is required to make additional capital contributions except as agreed in writing by that Member.
- Capital accounts shall be maintained in accordance with applicable tax rules.
- Additional Members may be admitted only with the consent of Members holding at least 75% of the Interests and on terms approved by them.
Article 4 - Management
- The Company is member-managed.
- Each Member has authority to bind the Company in ordinary business matters.
- The following actions require the affirmative consent of Members holding at least 75% of the Percentage Interests: (a) sale or encumbrance of substantially all assets; (b) admission of new Members; (c) borrowing in excess of [[Threshold Amount]]; (d) amendment of this Agreement or the formation document; (e) merger, conversion, or dissolution.
- Action may be taken without a meeting by written consent of the required percentage of Interests.
Article 5 - Distributions
Distributions of cash or property shall be made at such times and in such amounts as the Members determine, in proportion to Percentage Interests, subject to the Company's financial condition and any reserves the Members establish.
Article 6 - Allocations
Profits and losses shall be allocated in proportion to Percentage Interests, or as otherwise required by the Internal Revenue Code and regulations.
Article 7 - Transfer of Interests
No Member may transfer, assign, or encumber any Interest without the prior written consent of Members holding at least 75% of the remaining Interests. Any permitted transferee shall have only economic rights unless admitted as a Member by the required consent.
Article 8 - Withdrawal and Dissociation
A Member may withdraw upon 90 days' prior written notice, subject to any buyout provisions in this Agreement or separate agreement. The dissociated Member is entitled to payment of the fair value of the Interest as determined under West Virginia law.
Article 9 - Dissolution and Winding Up
The Company shall dissolve upon the written consent of Members holding at least 75% of the Interests, upon a decree of judicial dissolution, or upon any other event requiring dissolution under the Act. Upon dissolution, the Members shall wind up affairs, pay creditors, and distribute remaining assets according to positive capital accounts and Percentage Interests.
Article 10 - Indemnification
The Company shall indemnify and hold harmless each Member and agent to the fullest extent permitted by W. Va. Code §31B-4-408 and other applicable law from losses arising from the Company's business, except for gross negligence or willful misconduct.
Article 11 - Records, Accounting, and Information
Proper books and records shall be maintained at the principal office. Each Member has reasonable inspection rights. The fiscal year is the calendar year unless otherwise determined.
Article 12 - Confidentiality
Members shall maintain the confidentiality of the Company's non-public information during and after their membership.
Article 13 - Governing Law and Disputes
This Agreement is governed by the laws of the State of West Virginia. Disputes shall be resolved in the courts of the county of the principal office or by arbitration if the Members so agree.
Article 14 - Amendments
This Agreement may be amended only by written instrument signed by Members holding at least 75% of the Interests (unanimous consent required for changes disproportionately affecting a Member's economic rights).
Article 15 - Miscellaneous
This Agreement is the entire agreement among the Members. Severability, counterparts, and electronic signatures are permitted. Headings are for convenience.
