2. Odometer Disclosure (Federal Requirement)
Federal law (49 U.S.C. § 32705 and 49 CFR Part 580) requires the seller of a motor vehicle to disclose the odometer reading and certify its accuracy.

3. Sale Price and Payment Terms

4. Liens, Encumbrances, and Title
The Seller represents and warrants that:
- The Seller is the lawful registered owner of the Vehicle and has full authority to sell it.
- There are no liens, security interests, encumbrances, or claims against the Vehicle except as follows: [[List any existing liens, PPSA registrations, or "None"]].
- If any lien exists, the Seller will deliver a full release, discharge statement, or payoff letter at or before delivery of the Vehicle.
- The Seller will deliver the current Alberta registration certificate, any keys, fobs, and the properly assigned or signed-over certificate of title (or equivalent ownership document) to the Buyer at delivery or promptly as required for transfer.
The Buyer is advised to conduct a Personal Property Security Act (PPSA) search against the VIN and Seller name before completing the purchase.
5. Condition, "As-Is" Sale, and Exclusion of Warranties
The Vehicle is sold "AS IS", "WHERE IS", and "WITH ALL FAULTS".
The Seller makes no warranties or representations, express or implied, regarding the Vehicle, including but not limited to any warranty of merchantability, fitness for a particular purpose, title (except as expressly stated), or non-infringement, except as may not be excluded by the Sale of Goods Act (Alberta) or other law that cannot be waived.
The Buyer acknowledges that:
- The Buyer has inspected the Vehicle (or has had the full opportunity to inspect) to the Buyer's complete satisfaction.
- The Buyer is purchasing the Vehicle based solely on that inspection and the disclosures in this Bill of Sale.
- The Buyer has not relied on any representation by the Seller or any other person except as expressly set out in writing in this Bill of Sale.
The Seller warrants good and marketable title, free and clear of all liens and encumbrances except as disclosed in Section 4.
6. Alberta Registration Transfer Requirements
Under the Alberta Traffic Safety Act and regulations administered by Service Alberta:
- The Seller must provide the Buyer with the existing registration documents and any required forms at the time of sale.
- The Buyer must register the Vehicle in the Buyer's name with Service Alberta within 14 days of the Sale Date.
- Failure to register within the required time may result in penalties, inability to obtain insurance, or inability to legally operate the Vehicle on Alberta roads.
- The Buyer should visit a registry agent or use Service Alberta's online services (where available) with this Bill of Sale, the assigned registration, proof of insurance, and payment of applicable fees and taxes.
The Seller agrees to cooperate in providing any additional signatures or information reasonably required to complete the transfer.
7. GST and Tax Notes
Alberta has no provincial sales tax (PST).
GST (Goods and Services Tax) under the Excise Tax Act (Canada) may apply if the Seller is a GST registrant and the sale is in the course of commercial activity.

13. Additional Provisions
Entire Agreement. This Bill of Sale constitutes the entire agreement between the parties concerning the Vehicle and supersedes all prior negotiations and representations. Amendments must be in writing and signed by both parties.
Severability. If any provision is held invalid or unenforceable, the remaining provisions shall continue in full force.
Governing Law. This Bill of Sale is governed by the laws of Alberta and applicable federal law.
Counterparts. This document may be signed in counterparts or electronically.
Release of Liability. The Seller is advised to report the sale to Service Alberta / Alberta registry promptly to limit post-sale liability for the Vehicle.
