SECTION 3 - SALE PRICE AND CONSIDERATION

3.2 Good and Valuable Consideration. In consideration of the purchase price and other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, Seller hereby sells, transfers, and assigns all right, title, and interest in the Vehicle to Buyer.
3.3 Illinois Use Tax / Private-Party Sales. Illinois imposes a Private Party Vehicle Use Tax on private-party vehicle purchases. As of 2026, the rate depends on the purchase price:

SECTION 5 - "AS-IS" / NO-WARRANTY DISCLAIMER
5.1 "As-Is" Sale. Seller makes NO WARRANTIES, EXPRESS OR IMPLIED, including any implied warranty of merchantability or fitness for a particular purpose. Buyer purchases the Vehicle in its present condition "AS IS, WHERE IS" and acknowledges that Buyer has had the opportunity to inspect or arrange inspection of the Vehicle prior to purchase.
5.2 Known Defects / Disclosures. Seller discloses the following known material defects, damage, or conditions:

SECTION 6 - LIEN / ENCUMBRANCE DISCLOSURE
6.1 Clear Title. Seller represents and warrants that:
- [X] The Vehicle is free and clear of all liens, encumbrances, security interests, and claims of any kind, and Seller has full authority to sell the Vehicle.

6.2 Indemnification. Seller shall indemnify, defend, and hold harmless Buyer from and against any undisclosed liens or encumbrances on the Vehicle that arise from acts or omissions of Seller prior to the date of sale.
SECTION 7 - TITLE TRANSFER AND REGISTRATION (ILLINOIS)
7.1 Illinois Certificate of Title. Seller shall deliver to Buyer a properly endorsed Illinois Certificate of Title (signed in Section 1 of the title by Seller, with Buyer's name, address, and purchase price entered) at the time of sale.
7.2 Buyer's Obligation to Title and Register. Under 625 ILCS 5/3-112(c), Buyer must apply for an Illinois Certificate of Title within 20 days of the date of purchase. Failure to do so may result in late penalties. Buyer shall present to the Illinois Secretary of State:
- The assigned title;
- Completed Form RUT-50 (Private Party Vehicle Tax Transaction);
- Payment of Private Party Vehicle Use Tax (see Section 3.3);
- Title fee (currently $150 as of 2026 - verify at cyberdriveillinois.com);
- Any applicable county/city taxes; and
- Proof of Illinois liability insurance.
7.3 License Plates. Illinois license plates transfer with the seller's vehicle in private-party sales. Seller shall remove the plates from the Vehicle and, if not transferring to another vehicle, return them to the Illinois Secretary of State or use Form VSD 703 (Notice of Transfer / Release of Liability). (625 ILCS 5/3-412.)
7.4 Seller's Release of Liability. Seller is encouraged to complete the Notice of Transfer and Release of Liability online at cyberdriveillinois.com to protect Seller from liability after the vehicle changes hands.
7.5 Emissions Inspection. Buyer should verify whether the Vehicle is subject to emissions inspection requirements in Buyer's county before registration. Illinois requires emissions testing in the Chicago metropolitan area (Cook, DuPage, Kane, Lake, McHenry, Will, Madison, Monroe, and St. Clair counties). (415 ILCS 5/44.)
SECTION 8 - DELIVERY
8.1 Delivery. Seller shall deliver the Vehicle and all keys, key fobs, remote controls, owner's manuals, service records, and accessories included in the sale at [[Delivery Location]] on [[Delivery Date / the date of signing]].
8.2 Risk of Loss. Risk of loss transfers to Buyer upon physical delivery and Buyer's receipt of the assigned title.
SECTION 9 - REPRESENTATIONS AND WARRANTIES OF SELLER

1. Seller is the lawful owner of the Vehicle and has the full legal right and authority to sell it;
- The Vehicle is free of all liens and encumbrances except as disclosed in Section 6;
- The odometer reading in Section 4 is true and correct to the best of Seller's knowledge;
- All information provided in this Bill of Sale is accurate and complete; and
- Seller has disclosed all known material defects and conditions as required in Section 5.
SECTION 10 - REPRESENTATIONS OF BUYER
Buyer represents that Buyer is purchasing the Vehicle for Buyer's own use and not for immediate resale; that Buyer has had the opportunity to inspect the Vehicle; and that Buyer accepts the Vehicle in "as-is" condition as described in Section 5.
SECTION 11 - ENTIRE AGREEMENT; GOVERNING LAW
This Bill of Sale constitutes the entire agreement between the parties concerning the purchase and sale of the Vehicle and supersedes all prior negotiations, representations, warranties, and understandings. This Bill of Sale shall be governed by the laws of the State of Illinois. Any dispute arising hereunder shall be resolved in the courts of [[County, Illinois]].
