1. Vehicle Identification
The Seller agrees to sell and transfer, and the Buyer agrees to purchase, the following motor vehicle (the "Vehicle"):

2. Sale Price and Payment Terms
The total purchase price for the Vehicle is $[[Purchase Price]] CAD (the "Purchase Price").
Payment is made as follows:

3. Odometer Disclosure and Mileage Representation

The Seller certifies that to the best of the Seller's knowledge:
- The odometer reading is the actual distance the Vehicle has been driven.
- The odometer reading reflects mileage in excess of the odometer's mechanical limits.
- The odometer reading is not the actual distance the Vehicle has been driven.
The Seller has disclosed whether the Vehicle was previously used as a taxi, police vehicle, or for driver education: [[Yes / No - details if applicable]].

4. Used Vehicle Information Package (UVIP)
In Ontario, the Seller must provide the Buyer with a current Used Vehicle Information Package (UVIP) issued by the Ministry of Transportation (MTO) unless an exemption applies.

The Seller will deliver the UVIP to the Buyer at the time of sale or immediately thereafter. The UVIP contains important information including the vehicle's registration history, lien information (if any), and other disclosures.
5. Title, Ownership Transfer and Registration
The Seller represents and warrants that the Seller is the lawful owner of the Vehicle and has full right and authority to sell and transfer ownership to the Buyer free and clear of all liens, encumbrances, and security interests except as disclosed.
Ontario vehicle ownership is transferred by completing the transfer section on the Vehicle Permit (ownership document) and delivering it to the Buyer along with the key(s).
The Buyer is solely responsible for:
- Registering the Vehicle with ServiceOntario within the required timeframe (generally within 6 days for used vehicles to avoid penalties)
- Paying all applicable retail sales tax (RST) or HST as required under the Retail Sales Tax Act
- Obtaining new licence plates or transferring existing plates if eligible
- Completing any required safety standards certificate (for vehicles over a certain age or as required) or emissions testing where applicable in the drive clean program areas
6. Lien and Encumbrance Statement
The Seller states that:

If a lien exists, the Seller will obtain and deliver a discharge or provide a payout statement at closing. The Buyer should confirm the lien status via a lien search (PPSA search) prior to completing the purchase.
7. Representations and Warranties of Seller
The Seller represents and warrants that:
- Seller has good and marketable title to the Vehicle.
- The Vehicle has not been declared salvage, rebuilt, or written off unless specifically disclosed here: [[Disclosure or "None"]].
- The Seller has not made any material misrepresentations regarding the condition or history of the Vehicle.
- The Vehicle is sold "AS IS" without warranty except as required by the Sale of Goods Act (Ontario) or other applicable law, or as separately agreed in writing.

8. As-Is Sale; Inspection
The Buyer acknowledges having had the opportunity to inspect the Vehicle (or having waived inspection) and accepts the Vehicle in its current condition.

9. Tax and Transfer Obligations
The Buyer is responsible for all taxes payable on the transfer, including any applicable RST on the purchase price or the vehicle's wholesale value, whichever is higher in certain cases. The Seller will cooperate in providing documentation needed for tax filings.
